WHAT IS AN RIA?
RIA stands for Registered Investment Advisor (Downtown Investment Advisory is an RIA), which means that the firm is registered with the SEC in order to be able to provide investment advice to clients for a fee. A financial advisor who is not an RIA is often a stockbroker who is a "registered representative" of a brokerage firm. A key difference between an RIA and most other types of advisors is that an RIA has a fiduciary obligation to put the client's interest first. WHAT IS YOUR RELATIONSHIP WITH CHARLES SCHWAB & INTERACTIVE BROKERS?
Downtown Investment Advisory (DIA) is an independent firm and neither the firm nor its investment manager is employed by Schwab or Interactive Brokers (the "Custodians") or receives any type of compensation from the Custodians. DIA has an agreement with
the Custodians whereby these firms act as custodian for DIA's clients and provide the platform for the trading of investments. Client accounts are held in their name and they retain sole control and withdrawal authority; DIA simply manages the account based on the permission granted by the client to trade the account. With this arrangement, clients can take comfort that their assets are securely held by leading financial firms.

WHAT KIND OF RETURNS CAN I EXPECT?
DIA does not indicate the returns a client can expect, since by design, each client's portfolio will be different based on a multitude of factors. Returns will vary based on the allocation to various fixed income asset classes and how aggressively DIA invests within these asset classes. For example, a risk-averse client may want a portfolio constructed of only the highest grade corporate bonds, while another client may prefer a portfolio of high yield bonds -- the returns for each portfolio will differ.

WHAT ARE YOUR FEES?
DIA’s fee structure is transparent and competitive, starting at 1.00% of total assets for individual clients, however, our fee percentage is negotiable, and typically can be reduced for larger accounts. As a fee-only manager DIA avoids conflicts of interest, and we never earn third-party commissions or incentives. Since our fee grows when your account value grows, our goals are the same.

DO YOU HAVE AN ACCOUNT SIZE MINIMUM?
DIA only accepts clients with a minimum of $1,000,000 to invest, although DIA will consider smaller accounts on a case-by-case basis.

CAN I HIRE DIA TO MANAGE ONLY A PORTION OF MY ASSETS?
Absolutely. Many of our clients have engaged DIA to manage accounts with a focus only on fixed income investments.

HOW OFTEN CAN I CALL YOU OR MEET WITH YOU?
Customer service is a key area of differentiation and how we seek to distinguish ourselves from larger competitors and stockbrokers. DIA's investment manager (Salo Aizenberg) is available to speak or meet with you as often as necessary to understand your investment needs & goals, and to answer ongoing questions.

CAN I CANCEL OUR RELATIONSHIP AT ANY TIME?
Yes. Clients may terminate the Investment Advisory Contract at any time without penalty and can contact the Custodian to cancel the relationship. DIA's trading authority on the account would immediately end if so instructed by the client.
